Hello, I bought a business in Co Springs in August 2019 but the seller opened a business with 15 miles radius in September 2020. She emailed some of my patients that she opened her own clinic. We signed an agreement but there is no non-compete noted. What should I do?

Congratulations on starting a new business. We know how exciting and challenging it can be.

Even without a non-compete or non-solicitation agreement the seller may have violated a confidentiality provision or other contractual obligation under the agreement. Additionally, there are implied duties in every contract, such as the duty of good faith and fair dealing.

Depending on the contact language you may be entitled to injunctive relief (a court order that orders the other person to stop taking an action) or monetary damages (or both). I would recommend speaking to an attorney to discuss your options.

Good luck in you new business.
